1. Agreement to Terms

By accessing or using Klipwise ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

Klipwise is an AI-powered video content processing platform that provides:

  • YouTube video to social media clip conversion
  • Video upload processing and clip extraction
  • App Store UGC video generation
  • Automatic transcription and caption generation
  • Multi-platform content optimization (TikTok, Instagram, YouTube Shorts, LinkedIn)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

3.2 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activity
  • Abuse or misuse the Service
  • Fail to pay fees when due

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Upload content you don't have rights to (respect copyright and intellectual property)
  • Create or distribute harmful, offensive, defamatory, or illegal content
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Distribute malware, viruses, or harmful code
  • Scrape, data mine, or reverse engineer the Service
  • Bypass security measures or access controls
  • Use automated systems (bots) without authorization
  • Resell or redistribute the Service without permission
  • Generate spam or misleading content
  • Create deepfakes or deceptive content without disclosure

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Process, store, and analyze your videos
  • Generate clips, captions, and derivative content
  • Display content within your account
  • Improve our AI models and services (anonymized data only)

You represent and warrant that you own or have the necessary rights to all content you upload and that your use does not violate any third-party rights.

5.2 Our Content

The Service, including its design, code, algorithms, branding, and all intellectual property, is owned by Klipwise and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

5.3 Generated Content

You own the video clips, captions, and other content generated by our AI based on your inputs. However, you are responsible for ensuring that your use of generated content complies with applicable laws and third-party rights.

6. Subscription and Billing

6.1 Subscription Plans

We offer various subscription plans with different features and usage limits. By subscribing, you agree to pay all fees associated with your chosen plan.

6.2 Billing and Payment

  • Subscriptions renew automatically unless canceled
  • Fees are charged at the beginning of each billing cycle
  • All fees are non-refundable unless required by law
  • We may change pricing with 30 days' notice
  • Failed payments may result in service suspension

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused services, except as required by law or at our sole discretion.

7. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We do not guarantee uninterrupted, error-free, or secure service
  • We are not responsible for the accuracy or quality of AI-generated content
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid in the past 12 months

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Klipwise, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or generated content

9. Third-Party Services

Our Service integrates with third-party services (YouTube, OpenAI, Anthropic, ElevenLabs, Pexels, etc.). Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

10. Content Moderation

We reserve the right to review, monitor, and remove content that violates these Terms or is otherwise objectionable. However, we are not obligated to monitor all content and do not assume responsibility for user-generated content.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
